Agreement On Advertising

8.1 The Advertiser shall ensure that all confidential information or material received during this Advertising Agreement or during negotiations thereon are treated confidentially, including, but not limited to, details of advertising means and the commission that is due or received under this Advertising Agreement. 1.12 “budget” is the advertising budget referred to in clause 5. These Terms and Conditions apply to all orders (as defined in Section 3) for print, digital and preprint advertising placements (Insert and Direct Mail) executed by Companies of the Tribune Publishing Company that publish and/or distribute such advertisements (“Publishers”). Each order and these general terms and conditions of sale together form the agreement (“agreement”) between the advertiser (“advertiser”) and the publisher(s). The general conditions of sale apply to all orders placed after the aforementioned effective date and may be updated from time to time. The General Terms and Conditions of Sale do not apply to brand publishing projects such as social media management, website development or the creation of sponsored content, advertorial content or work for hire, as defined below in Section 16. 2.3 An indication of the intended purpose of the advertisement (whether to promote a given product or service, or to increase awareness of the brand or product, or both). The term of this Agreement shall commence on the [Start Date] and shall remain in full force and effect until terminated in writing by either Party with a period of at least ninety (90) days, provided that no Agreement can be terminated (except for breach) prior to the end date of the Contract. The rights, obligations and obligations of the parties remain in full force and effect during or after the expiration of the notice period until termination, including ordering and billing for advertisements in the media, the closing dates of which will follow this period. In the event of termination of the contract, all advertising material held by the Agency shall be immediately returned to the undertaking and shall not be used by the Agency for any other purpose or to other persons. NOW, therefore, taking into account the reciprocal agreements and arrangements included therein, the parties agree as follows: “Work for Hire Content” means any content produced by the publisher`s trademark publishing group for the customer as part of an employment contract for the service. Work for Hire Content is not published in Tribune Publishing Company publications. . . .
